Nomination for membership on the Board of Directors shall be in accordance with the provisions stipulated in the Companies Law, the instructions and regulations issued by the Saudi Central Bank and the Capital Market Authority, and the Bank's Articles of Association, and the policy for nomination and selection for membership (attached). Noting that Any uncompleted application that do not include all completed nomination documents as stated below by the end of the nomination period will not be considered. • Complete and sign the nomination form • An authenticated nomination letter if the nomination is from one of the bank’s shareholders. • Candidate's CV • Certified copy of academic and professional qualifications. • A clear copy of the National ID, Family Registry and Passport for the Saudi candidate, or a copy of the Residency Permit (Iqama) for non-Saudis, Family Registry and Passport. • Personal photo • Criminal Clearance Certificate. • Complete and sign the Saudi Central Bank's "Fit & Proper" Form. In (Word/PDF) formats • Complete and sign the Capital Market Authority CV form (attached) • Complete and sign the Independence Form (as defined by the Saudi Central Bank and the Capital Market Authority). • Complete and sign a Statement of the Meetings attended by the candidate in his capacity as a member of the Board of Directors or a member of a Committee of the Board of Directors if he previously held/is a member of the Board of Directors/Committee of the Board of Directors in one of the joint stock companies (listed/closed). • A Statement of the Companies or Institutions in which management or ownership the candidate participates conducting business similar to that of the Bank. • A statement of the companies or institutions in which the candidate - or any person related to him directly or indirectly - participates in managing or owning them and has contracts or common interests with the bank, along with a statement of those dealings or contracts. • Any other additional forms, information or documents determined by the regulatory or supervisory authorities or the Bank. |
